In using Wiley Management Solutions services’ you are accepting these Terms and Conditions.
CONFIDENTIALITY AND DATA PROTECTION
Both Wiley Management Solutions and the Client agree that all information provided to each other will be treated as strictly private and confidential and safeguarded.
Reasonable steps will be taken to safeguard confidentiality and client’s data consistent with industry norms. This stipulation will continue in the event of termination of the relationship between Wiley Management Solutions and the Client.
The Client’s information will not be shared to a third party without prior consent, unless we are legally obliged to do so.
Any documents containing personal financial details belonging to the Client, or the Client’s client, will be destroyed four weeks after completion and payment of the tasks or project.
All work will be kept on file and backed up off-site for a 12-month period. After this time, work will be securely destroyed unless instructed otherwise.
CONSULTATION, QUOTATIONS & CORRESPONDENCE
Wiley Management Solutions offers free consulting with the Client before entering into any assignment to ensure that both parties have a full understanding of what is to be done, and by whom. Prior to work commencing, an email will be required from the Client to indicate that they accept Wiley Management Solutions’ Terms and Conditions herein.
Wiley Management Solutions has a flexible pricing policy offering 'Pay by the Hour' services and 'Monthly Retainers' at a discounted price (starting with a minimum of 5 hours per month). Retainers will be discussed and agreed between both parties. Wiley Management will also agree to an Event or Project flat fee, as agreed upon by both parties.
Wiley Management Solutions charges a minimum fee of $40 per assignment for pay as you go clients, and charge per hour. For time beyond an even hour clients are charged in five-minute increments of the appropriate hourly rate thereafter. Clients will receive a timesheet with each invoice.
Expenses such as stationery, printing, postage, travel and any other expenses incurred will be charged separately. Bulk printing will be outsourced and the Client will be engaged to arrange payment separately.
Wiley Management Solutions is GST registered.
Wiley Management Solutions reserves the right to amend the cost of the provision of services at any time by giving the Client one month’s notice in writing.
Any written correspondence between Wiley Management Solutions and the Client e.g. quotes, booking forms, timesheets, invoices, statements and letters etc. will be sent by email unless otherwise agreed.
RETAINER
Monthly Retainer packages will be invoiced monthly in advance and payment will be due within 7 days from the date of the invoice. Unused hours cannot be carried forward to subsequent months and will be non-refundable. Any hours required, in excess of the Monthly Retainer that has been agreed, will be billed at the equivalent hourly rate for the remainder of the month.
Wiley Management Solutions or the Client can cancel a Retainer package at any time by giving a 14-day notice period in writing.
ACCEPTANCE OF ASSIGNMENTS
Wiley Management Solutions will accept work by telephone, email, post, courier, special delivery or memory stick.
Wiley Management Solutions reserves the right to decline work that is inappropriate or is beyond the scope of services offered.
SUBMITTING WORK
Wiley Management Solutions recommends that any original documents should be sent via secure post with proof of posting.
Wiley Management Solutions cannot be responsible for any loss, theft or damage of data, projects, equipment or any items relating to the assignments during transit to/from the premises of Wiley Nonprofit Management Solutions (including communications by e-mail).
COMPLETED ASSIGNMENTS
All completed assignments can be returned to the Client by email, post, courier, special delivery or memory stick. If the Client prefers to use a courier or special delivery, this can be arranged at cost to the Client.
We cannot accept liability for damage or loss caused by Mail or other courier services.
PROOFREADING/EDITING
Documents will be proofread and spell checked, however final proof reading is the responsibility of the Client. Any errors generated by Wiley Management Solutions will be corrected free of charge up to 7 days following completion of the assignment. After 7 days it shall be deemed that the work has been accepted by the Client as free of errors and omissions. Wiley Management Solutions will not accept liability or loss arising from the performance of services.
Amendments other than those previously stated will be charged at the appropriate hourly rate.
INVOICES
Hourly rate invoices will be sent upon completion of work and payment is strictly 7 days from the date of invoice.
Payment can be made by e transfer (details will be provided on the Invoice).
Receipts will not be issued unless specifically requested.
Failure to pay within 7 days will result in a penalty charge of 10% and an additional 10% will be levied for every 7 days subsequent to that whilst the payment remains overdue.
Wiley Management Solutions will exercise our statutory right to interest and compensation for debt recovery costs under the late payment legislation if payment is not received in accordance to the agreed credit terms.
LIABILITY
Wiley Management Solutions will not be held liable or responsible for the end use of any document produced, edited or work carried out by us. We retain the right to reject work which involves material we feel is illegal, unethical and objectionable.
Clients are responsible for the appropriate use of all work undertaken by Wiley Management Solutions, including abiding by copyright laws, plagiarism and publishing requirements.
Every effort will be made to ensure reliable service, yet in the event of equipment failure, Wiley Management Solutions cannot be held liable for any loss of information.
We do not hold any liability for any damage you may experience or costs you may incur as a result of any transmissions over the Internet or other publicly accessible networks, such as transmissions involving the exchange of e-mail with us (including those which may contain your personal information).
In the event of any of the exclusions on liability in these terms being held by a court of competent jurisdiction to be unlawful, Wiley Management Solutions' liability shall be capped at the charges paid by the client to Wiley Nonprofit Management Solutions.
INSURANCE
Wiley Management Solutions holds Public Liability and Professional Indemnity Insurance. Details available on request.
VIRUS PROTECTION
Wiley Management Solutions uses anti-virus protection and all incoming emails and documents will be scanned. We reserve the right to delete any unsolicited attachments which causes concern from an unrecognized sender or has no subject heading or contains no message.
The Client is responsible for their own anti-virus protection.
